Last updated · September 15, 2026Overview
Effective date: 10 September 2026 | Last updated: 15 September 2026
These Terms & Conditions ("Terms") are a binding agreement between Akash Sinha, proprietor of Averon Labs, trading as Brumo ("Brumo", "we", "us", "our"), and the business or individual accessing or using Brumo's website, platform, and Instagram automation services, including comment-to-DM automation, comment auto-reply, and story-reply automation (collectively, the "Services"), ("Customer", "you", "your").
By creating an account, connecting an Instagram Business or Creator account, clicking to accept, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
These Terms should be read together with our Privacy Policy, Cookie Policy, Data Processing Agreement (DPA), Refund & Cancellation Policy and Fair Usage Policy, each of which is incorporated into these Terms by reference and forms part of the agreement between you and Brumo. See Section 21 (Order of Precedence) if any of these documents conflict.
1.Acceptance of Terms
These Terms govern all access to and use of the Services. By using the Services, you represent that you have read, understood, and agree to be bound by these Terms, and that you have the authority to bind the business you represent.
2.Description of the Services
Brumo connects to a Customer's Instagram Business or Creator account via Meta's official Graph API and Messaging API to automatically detect comments, story replies, and direct messages, and to send automated responses or direct messages configured by the Customer, including keyword-triggered comment-to-DM flows.
Brumo does not control Instagram's or Meta's platform, infrastructure, or policies. Features and functionality may change if Meta changes its API, permissions, or policies, and Brumo is not liable for any resulting disruption except to the extent otherwise expressly provided in these Terms or required by applicable law.
3.Eligibility and Account Registration
- You must be at least 18 years old, and if registering on behalf of a business, you must have the authority to bind that business to these Terms.
- You must own, or have authorised administrative access to, the Instagram Business or Creator account and any linked Facebook Page you connect to Brumo.
- You are responsible for the accuracy and completeness of the information you provide, and for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account, whether or not authorised by you, except to the extent caused by Brumo's breach of these Terms.
5.Compliance with Meta and Instagram Policies
- You remain responsible for your own compliance with the Meta Platform Terms, the Instagram API Terms of Use, Instagram's Community Guidelines, and Meta's automated-messaging and anti-spam policies.
- Brumo will use commercially reasonable efforts to operate the Services within Meta's applicable Platform Policies, but does not guarantee Meta's continued approval, availability, or non-restriction of your account, as these matters are determined by Meta.
- You must not use the Services to send unsolicited bulk messages, circumvent Instagram's messaging-window or message-tag rules, incentivise engagement in a manner Meta prohibits, or collect or use data obtained via Instagram in a manner inconsistent with Meta's terms.
- Brumo reserves the right to suspend or limit any automation that it reasonably believes places your account, other Customers, or the Services at risk of restriction by Meta.
6.Acceptable Use
You agree that you will not use the Services to:
- send spam, deceptive, or misleading messages to any person;
- harvest, scrape, or retain personal data of Instagram users beyond what is necessary to operate your configured automation;
- impersonate any person, business, or entity, or misrepresent your affiliation with any person or entity;
- violate any applicable law, including data protection, consumer protection, or anti-spam law;
- transmit any content that is unlawful, defamatory, obscene, or infringes any third party's intellectual property or other rights;
- interfere with or disrupt the integrity or performance of the Services or any connected third-party platform; or
- reverse-engineer, decompile, resell, sublicense, or white-label the Services without Brumo's prior written consent.
Brumo may suspend or terminate access immediately, without liability, if it reasonably believes you have violated this Section 6.
7.Automated Messaging and Disclosure Obligations
You are solely responsible for the content of any automated message, comment reply, or direct message sent through the Services, and for ensuring that End Users interacting with your automations are given adequate notice, where required by law or by Meta's policies, that they are engaging with an automated system, together with a clear means of reaching a human representative or opting out.
Brumo provides the technical infrastructure to execute the automations you configure and does not review, approve, or take responsibility for the content or purpose of your messaging campaigns.
8.Intellectual Property
- Brumo and its licensors retain all right, title, and interest in and to the Services, including the underlying software, workflows, design, and the "Brumo" name and logo.
- Customer retains all right, title, and interest in its own content, message templates, automation rules, and Customer Data.
- Customer grants Brumo a limited, non-exclusive licence to use Customer Data to provide, maintain, secure, and operate the Services and the automations Customer configures. Brumo may additionally use Customer Data in aggregated and de-identified form, from which no individual End User or Customer can reasonably be identified, for analytics, reporting, and product improvement.
- Brumo will not use personal data that identifies an End User or Customer for any purpose beyond providing, maintaining, securing, and operating the Services, except as expressly permitted under the DPA, Privacy Policy, or this Section 8.
- This clause is to be read consistently with, and is subject to, the corresponding data-use provisions of the DPA.
- Nothing in these Terms transfers ownership of any intellectual property from one party to the other, except as expressly stated.
9.Fees, Billing and Payment
9.1 Free Plan
Brumo may make a free plan available with usage limits and features specified in the Brumo dashboard or pricing page.
The Free Plan does not require payment unless the Customer separately selects a paid plan or paid add-on.
The Free Plan is subject to the usage limits set out in the Fair Usage Policy, including any monthly Automated Send limit displayed in the Customer's dashboard.
9.2 Paid Plans
Brumo may offer optional paid subscription plans and additional paid capacity from time to time.
The applicable price, billing frequency, included usage, features, taxes, and other commercial terms will be displayed on the Brumo pricing page, dashboard, checkout page, or order confirmation applicable when the Customer selects the paid plan.
Payment obligations under this Section 9 apply only when the Customer expressly selects a paid plan or other paid service.
9.3 Billing and Renewal
Unless otherwise stated at checkout or in the applicable order confirmation, paid subscriptions are billed in advance for each applicable billing period.
A paid subscription will automatically renew for successive billing periods unless cancelled before the applicable renewal date in accordance with the cancellation process made available by Brumo.
The Customer authorises Brumo or its payment service provider to charge the applicable payment method for each renewal, subject to the terms disclosed at checkout and applicable law.
9.4 Cancellation
The Customer may cancel a paid subscription through the cancellation mechanism provided by Brumo.
Cancellation will normally prevent renewal for the next billing period, while access to the paid features may continue until the end of the already-paid billing period unless otherwise stated.
Refunds are governed exclusively by the Refund & Cancellation Policy, subject to applicable law.
9.5 Taxes and GST
Unless expressly stated otherwise, applicable taxes, including Goods and Services Tax ("GST"), may be charged in addition to the displayed subscription price where required by applicable law.
Where applicable, Brumo will issue a tax invoice containing the information required under applicable GST law.
The Customer is responsible for providing accurate billing and tax information, including GSTIN where applicable.
9.6 Payment Processing
Payments may be processed through third-party payment service providers. The Customer authorises the applicable payment provider to process payments in accordance with the payment terms presented at checkout.
Brumo is not responsible for failures caused solely by a third-party payment provider, banking institution, or payment network, subject to Brumo's obligations under applicable law.
9.7 Failed Payments
If a payment is declined, reversed, overdue, or otherwise unsuccessful, Brumo may notify the Customer and provide a reasonable opportunity to update the payment method.
Brumo may suspend or restrict paid features following an unsuccessful payment if the applicable amount remains unpaid after any grace period communicated to the Customer.
10.Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.
Except as expressly stated in these Terms, Brumo does not warrant that:
- the Services will be uninterrupted, error-free, secure, or continuously available;
- the Services will remain compatible with Meta, Instagram, or any third-party platform;
- Meta or Instagram will continue to provide or permit the APIs, permissions, features, or access required for the Services;
- any particular message, automation, workflow, engagement, lead, enquiry, sale, conversion, follower growth, or other business result will be achieved; or
- the Services will satisfy every particular requirement of the Customer.
Brumo does not warrant or guarantee the acts, omissions, availability, security, policies, or performance of Meta, Instagram, payment providers, or other third-party services.
Nothing in these Terms excludes or limits any warranty, right, remedy, or liability that cannot lawfully be excluded or limited under applicable law.
11.Customer Content and Data
"Customer Content" means any content, message templates, automation rules, and other materials that Customer uploads, configures, or transmits through the Services, and any personal data of End Users (Instagram followers, commenters, or message senders) processed through Customer's use of the Services.
Customer is responsible for Customer Content and represents that it has all necessary rights and permissions to submit Customer Content to the Services and to instruct Brumo to process any personal data contained within it, consistent with applicable law and the DPA.
For personal data relating to End Users who comment on, reply to, or message a Customer's connected Instagram account, the Customer is the Data Fiduciary and Brumo acts as the Data Processor to the extent described in the DPA.
Brumo remains responsible for personal data relating to its own users and Customer account holders that Brumo processes as a Data Fiduciary under its Privacy Policy.
Where an End User makes a request concerning personal data processed by Brumo on behalf of a Customer, the End User should ordinarily contact the relevant Customer. If the request is received by Brumo, Brumo may forward the request to the relevant Customer and will process the request in accordance with the DPA, including deleting or otherwise handling the relevant data on the Customer's documented instruction, subject to applicable law.
12.Third-Party Services
The Services rely on Meta's APIs and infrastructure, and may integrate with other third-party platforms and payment processors, all of which are outside Brumo's control.
Brumo is not responsible for outages, policy changes, rate limits, pricing changes, permissions, API changes, or account actions taken by Meta or any other third party, and such events do not constitute a breach of these Terms by Brumo, except to the extent caused by Brumo's own breach of these Terms or applicable law.
13.Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of a similar nature, and not less than reasonable care, and to use such information only as necessary to perform its obligations under these Terms.
This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was lawfully known to the receiving party without confidentiality obligations, is independently developed without use of the confidential information, or is required to be disclosed by law.
14.No Guarantee of Business Results
Customer acknowledges that Brumo provides technical automation infrastructure only, and makes no representation, warranty, or guarantee regarding any business outcome from use of the Services, including any specific number of leads, enquiries, sales, conversions, followers, engagement, or revenue.
Any figures, examples, case studies, or projections referenced by Brumo, whether on its website or otherwise, are illustrative only and are not a guarantee of similar results for Customer.
15.Indemnification
Customer will indemnify, defend, and hold harmless Brumo, its officers, employees, agents, contractors, sub-processors, service providers, successors and permitted assigns, and Akash Sinha in his personal capacity as proprietor of Averon Labs (together, the "Indemnified Parties"), from and against any and all claims, demands, damages, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees), arising out of or relating to:
(a) Customer Content or Customer's configured automations;
(b) Customer's breach of these Terms, applicable law, or Meta's policies; or
(c) Customer's use of the Services in a manner not authorised by these Terms.
For the purposes of this Section 15, "claims" includes, without limitation, claims, complaints, or regulatory or enforcement action brought by an End User (including any Instagram follower, commenter, or message recipient), by Meta or Instagram, or by any governmental or regulatory authority.
Indemnification procedure
The indemnity in this Section 15 is subject to:
(a) the relevant Indemnified Party notifying Customer in writing promptly after becoming aware of a claim;
(b) Brumo having the right, at its own election, to assume and control the defence and settlement of the claim using counsel of its choice, with Customer bearing the reasonable costs of that defence;
(c) Customer not settling or compromising any such claim in a manner that admits fault on the part of, or imposes any obligation on, any Indemnified Party, without that Indemnified Party's prior written consent; and
(d) Customer paying the reasonable legal costs and expenses of the Indemnified Parties as they are incurred, rather than solely upon final resolution of the claim.
16.Limitation of Liability; Term, Suspension and Termination
16.1 Limitation of Liability
To the maximum extent permitted by applicable law, Brumo, its proprietor, officers, employees, contractors, agents, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, anticipated savings, data, or business interruption arising out of or relating to the Services or these Terms.
To the maximum extent permitted by applicable law, Brumo's aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees actually paid by the Customer to Brumo for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations in this Section apply to liability arising under or in connection with these Terms, the Privacy Policy, the DPA, the Refund & Cancellation Policy, and the Fair Usage Policy, to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
16.2 Term
These Terms remain in effect for as long as Customer maintains an account or uses the Services.
16.3 Suspension or Termination by Customer
Either party may terminate these Terms for convenience on thirty (30) days' prior written notice.
Termination under this Section ends the overall agreement between the parties and is separate from, and does not replace, Customer's ability to cancel a paid subscription under Section 9.4.
16.4 Suspension or Termination by Brumo
Brumo may suspend or terminate Customer's access immediately, without prior notice, in the event of a material breach of these Terms, including a breach of Section 6 or Section 9, suspected fraud or abuse, non-payment following any applicable grace period, or if required to do so by Meta or applicable law.
Brumo may also suspend an account or automation where reasonably necessary to protect the security, integrity, availability, or lawful operation of the Services.
16.5 Effect of Termination
On termination, Customer's right to access the Services ceases immediately, subject to any period expressly stated in the applicable subscription terms.
Brumo will handle Customer Data in accordance with Section 17, the Privacy Policy, and the DPA, including applicable retention and deletion timelines.
17.Effect of Termination; Data Export
For thirty (30) days following termination or expiry of these Terms, Customer may request a manual export of its own account configuration, including its automation templates and workflow settings.
This Section 17 covers Customer's own account configuration only and does not extend to the content of End Users' messages or other End User personal data, which is addressed separately under the DPA and Privacy Policy.
After this thirty (30)-day period, Brumo may delete Customer's account configuration, subject to any longer retention period required by applicable law or expressly stated in the Privacy Policy or DPA.
18.No Third-Party Beneficiaries
These Terms create rights and obligations solely between Brumo and Customer.
End Users who interact with Customer's automations, including Instagram followers, commenters, and message recipients, are not parties to these Terms, are not third-party beneficiaries of these Terms, and have no right to bring any claim or enforce any provision of these Terms against Brumo or Customer solely by virtue of these Terms.
This Section does not affect any rights that an End User may have under applicable law, the Privacy Policy, the DPA, or other applicable legal rights.
19.Feedback
If Customer provides Brumo with any suggestions, ideas, or feedback about the Services, Brumo may use, modify, and incorporate that feedback into the Services or its business, freely and without any obligation, attribution, or payment to Customer.
20.Changes to the Services or These Terms
Brumo may modify the Services or these Terms from time to time.
Brumo will notify Customers of material changes via the dashboard or email at least fifteen (15) days before they take effect, except where a change is required to maintain compliance with Meta's policies, applicable law, or security requirements, in which case the change may take effect immediately.
Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.
21.Order of Precedence
These Terms, the Privacy Policy, the Cookie Policy, the DPA, the Refund & Cancellation Policy, and the Fair Usage Policy are intended to be read together.
If there is a direct conflict between them:
(a) the DPA will control on matters specifically concerning the processing of personal data on behalf of a Customer, to the extent required by applicable data protection law;
(b) the Privacy Policy will control on matters concerning Brumo's processing of personal data for which Brumo acts as a Data Fiduciary;
(c) the Refund & Cancellation Policy will control specifically on refunds and cancellations of paid plans, to the extent consistent with these Terms; and
(d) these Terms will control on all other matters, including the Services, payment obligations, warranties, liability, suspension, termination, and general contractual matters.
Notwithstanding the foregoing, Section 16 (Limitation of Liability; Term, Suspension and Termination) applies to, and caps, all liability arising under or in connection with the Services, including liability relating to personal data or arising under the DPA, to the maximum extent permitted by applicable law. Nothing in the DPA, Privacy Policy, Refund & Cancellation Policy, or Fair Usage Policy will be interpreted as expanding, removing, or overriding the applicable liability limitation in Section 16.
22.Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Subject to any separate arbitration agreement the parties may enter into under the Arbitration and Conciliation Act, 1996, the courts at Delhi shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
Nothing in this Section prevents either party from exercising any statutory right or remedy that cannot lawfully be excluded.
23.General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, DPA, Refund & Cancellation Policy, and Fair Usage Policy, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements, understandings, or representations on the subject, except for any separately executed written agreement expressly stated to supplement or override these Terms.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
A party's failure to enforce any provision of these Terms is not a waiver of that provision.
Assignment
Customer may not assign these Terms without Brumo's prior written consent.
Brumo may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the Services, subject to applicable law.
Force Majeure
Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including outages, infrastructure failures, internet disruptions, acts of government, natural disasters, or policy or API changes by Meta or other third-party platforms.
Survival
Provisions that by their nature should survive termination, including provisions relating to intellectual property, confidentiality, indemnification, limitation of liability, data protection, payment obligations accrued before termination, governing law, and dispute resolution, will survive termination of these Terms.
24.Notices
Notices under these Terms will be sent to the email address associated with Customer's account or, where applicable, to Brumo at the contact details stated in Section 26.
A notice sent by email will be treated as delivered when transmitted, unless the sender receives a delivery failure notification, subject to applicable law.
Where these Terms require Brumo to provide advance notice of a material change, Brumo may provide that notice through the Customer's registered email address, dashboard, or another reasonable electronic communication method.
25.Customer Support and Grievances
Questions regarding the Services, these Terms, billing, or account access may be directed to Brumo using the contact details in Section 26.
Requests concerning personal data and privacy rights are handled in accordance with the Privacy Policy and DPA.
Nothing in this Section limits any statutory right to lodge a complaint with a competent regulatory authority or exercise any other right available under applicable law.
